Terms of Service

1.Agreement

These Terms of Service ("Terms") are an agreement between you and Charmpi LLC, a Massachusetts limited liability company, which operates TaigiCubes, with its principal place of business in Massachusetts ("Charmpi", "TaigiCubes", "we", "us"). They govern your access to and use of taigicubes.com and any related services (the "Service").

By creating an account or otherwise using the Service, you accept these Terms. If you don't accept them, please don't use the Service.

If you are using the Service on behalf of an organization (a school, a tutoring company, a team), you confirm that you have authority to bind that organization to these Terms, and "you" includes that organization.

2.The Service, in plain terms

TaigiCubes helps you author and practice with language-learning kits: cubes of vocabulary and sentences with audio, generated from your own source material (text you type, photos, PDFs, DOCX files) using AI. You can listen, practice shadowing, share kits with students you choose, and run classroom sessions.

The Service is a tool. We do not guarantee any specific learning outcome, fluency level, exam result, or career outcome.

3.Your account

You need an account to use most features. You agree to:

  • Use a real email address you control
  • Keep your account secure (we sign you in via magic links to that email — protect your inbox)
  • Not share your account with others (each human user needs their own account)
  • Be at least 13 years old (US COPPA threshold), and if you are between 13 and 16 and located in the EU/UK, have a parent's or guardian's consent (per GDPR Art. 8). The Service is not directed to children under 13.

You are responsible for activity that happens under your account.

4.Acceptable use

You agree not to:

  • Use the Service for anything illegal under the laws that apply to you
  • Upload content you don't have rights to (we discuss content ownership in Section 5)
  • Upload content that is hateful, harassing, sexual content involving minors, or that incites violence
  • Try to abuse the AI generation system — for example, to extract our prompts, jailbreak the model into producing prohibited outputs, or scrape at a scale that disrupts others' use
  • Reverse-engineer, scrape, or systematically copy the Service in ways that compete with us or harm other users
  • Use the Service to harass other users (including students you share kits with)
  • Interfere with the security or operation of the Service

5.Your content; our content

Your content

Anything you create or upload — your kits, the source material you upload to generate them, your prompts to the AI, your notes — belongs to you. You keep all rights you had going in.

License to us

To run the Service for you, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of your content only as necessary to provide the Service to you and to people you share with. For example: synthesizing audio from your text, generating kits from your uploads, displaying your shared kits to students you've invited. This license ends when you delete the content (or your account), except for backup copies that may persist for a limited window.

You also grant us a worldwide, non-exclusive, royalty-free license to use the text of cubes you make and the revision-round records you submit, in de-identified form, to build and improve the Taiwanese-language knowledge base and models behind the Service and future Taiwanese-language tools from Charmpi, as described in the Privacy Policy. This part of the license survives deletion of your content or account, because the records are no longer linked to you.

AI-generated output

Output produced by AI in response to your input (your prompts, your uploads) is treated as your content — yours to use, edit, share, or delete. You are responsible for verifying its accuracy. AI outputs may contain errors in pronunciation, translation, grammar, or factual content; the Service is not a substitute for instruction by a qualified language teacher.

Source material rights

You confirm that the materials you upload (PDFs, photos, text) are either your own, in the public domain, used with permission, or used under fair use / fair dealing for your personal learning. TaigiCubes does not grant you any new rights in third-party material.

Our content

The Service itself — the software, the brand, "TaigiCubes", the logos, the design system, our internal prompts — belongs to us. These Terms do not give you rights in any of that beyond using the Service as intended.

6.Sharing and classroom features

You can share kits with specific users (e.g., your students) at the permission level you choose. When you share:

  • You are responsible for what you share and with whom
  • The recipients see the kit through their own TaigiCubes account, subject to these Terms
  • You may revoke access at any time; revoked recipients lose access to that kit
  • We may apply reasonable limits to prevent abuse (e.g., excessive sharing volumes)

Future features (e.g., public kit gallery, paid kits) will, when introduced, be governed by these Terms plus any additional terms shown to you at the time you opt in.

7.Sponsorships

TaigiCubes has no paid plan. Sponsorships are voluntary contributions toward running the Service, made through Stripe Payment Links. By sponsoring, you also agree to Stripe's terms.

A sponsorship is not a purchase, and it is not a donation to a charity (it is not tax-deductible). It does not change the features or limits that you or any other user get.

Recurring sponsorships continue until you cancel them — through the link in your Stripe receipt email, or by emailing hello@taigicubes.com.

Sponsorships are non-refundable except where the law requires. If you made an obvious mistake (a duplicate payment or a wrong amount), write to us within 14 days and we will refund it.

8.Free tier; quotas; AI usage

Usage limits ("sparks") apply to AI generation and audio synthesis; they refill on the schedule shown in-product. These limits exist because each generation and each second of audio costs us money to run.

Sparks are not a stored balance with monetary value. We may adjust the quota included in any plan with reasonable notice. Sparks do not accumulate beyond the cap shown in-product.

We may rate-limit, throttle, or temporarily suspend AI generation for any user where we detect abuse, runaway loops, or activity that risks our provider relationships.

9.Service availability

We work to keep the Service running smoothly, but we don't promise a specific uptime at the consumer tier. We may schedule maintenance, deploy changes, or experience outages caused by us or by upstream providers (AI vendors, audio vendors, hosting). We will try to communicate planned downtime where reasonable.

We may add, change, or remove features. We will try not to break workflows you rely on without notice.

10.Suspension and termination

By you

You can stop using the Service or delete your account at any time. To delete your account today, email hello@taigicubes.com; an in-app delete-account flow is coming.

By us

We may suspend or terminate your account if you materially violate these Terms (especially Section 4) or if we are required to by law. For non-egregious violations, we will normally contact you first to resolve the issue.

On termination

Your access ends, and your content is deleted on the schedule described in the Privacy Policy. Sections that by their nature should survive termination (e.g., ownership, disclaimers, liability limits, governing law) do so.

11.Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

Specifically: We do not warrant that AI-generated content will be free of errors; that pronunciations or translations will be perfect; that the Service will be uninterrupted; or that any specific learning outcome will result from using the Service.

12.Liability

To the maximum extent permitted by law:

  • We will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of data, lost profits, lost goodwill, or business interruption
  • Our total liability for any claim arising out of or related to the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim, or USD 100, whichever is greater

Some jurisdictions don't allow some of these limitations. In those places, our liability is limited to the smallest amount allowed.

13.Indemnification

If a third party brings a claim against us because of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right, you agree to indemnify and hold us harmless from that claim, including reasonable legal fees.

14.Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-laws principles. The federal United Nations Convention on Contracts for the International Sale of Goods does not apply.

Venue

Any dispute that is not subject to the informal-resolution or arbitration process below will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you and we consent to personal jurisdiction there. This does not override mandatory consumer-protection rules of your country or state of residence that cannot be waived by contract.

Informal resolution first

Before filing any claim, please contact hello@taigicubes.com and give us 60 days to try to resolve it with you. Most disputes can be resolved this way.

Binding individual arbitration + class-action waiver

If we cannot resolve the dispute informally within 60 days, any remaining dispute will be resolved by binding individual arbitration administered by JAMS under its consumer rules, seated in Boston, Massachusetts. You and we waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action. You may opt out of this arbitration provision by emailing hello@taigicubes.com within 30 days of first accepting these Terms, in which case disputes will proceed in court as described under "Venue" above. This arbitration provision is governed by the Federal Arbitration Act.

Massachusetts consumer protection

Nothing in these Terms limits your rights under Massachusetts General Laws Chapter 93A or other non-waivable consumer-protection statutes.

15.Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify active users by email and/or in-app notice at least 30 days before the change takes effect. Continued use after the effective date means you accept the updated Terms. If you don't accept them, you can cancel and stop using the Service.

16.Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy and any plan-specific terms we show you) are the complete agreement between us about the Service.
  • Severability. If any part of these Terms is unenforceable, the rest stays in effect.
  • No waiver. If we don't enforce a right, that's not a waiver of that right.
  • Assignment. You may not assign these Terms. We may assign them to a successor (e.g., in a merger or acquisition); we will notify you.
  • No third-party beneficiaries. These Terms don't create rights in anyone other than you and us.
